Terms & Conditions

These Terms and Conditions apply to all services provided by Vim Studio Design Pty Ltd (ABN 55 676 615 731), hereafter referred to as “Vim Studio,” to its clients (“the Client”), unless otherwise agreed in writing.
1. Scope of Work
Vim Studio will provide design, branding, packaging, website design and development, ecommerce integration, digital strategy, or other creative services as agreed in the approved proposal or scope of work.
Only the items explicitly listed in the approved scope are included. We do not cater to assumptions or expectations beyond what is written.
Any additional work—including changes of mind, design alterations during development, structural modifications, or new features not documented in the original scope—is considered out of scope, and will be quoted and scheduled separately based on current availability.
2. Project Process and Client Responsibilities
Vim Studio will perform services with professional skill and care.
The Client agrees to:
- Provide all required feedback, approvals, assets, and information by the requested dates or within the agreed timeframes.
- Understand that delays in feedback or asset delivery will result in project delays and may incur a restart fee of $500 AUD + GST.
If materials or approvals are delayed beyond the requested window, Vim Studio reserves the right to reschedule the project around existing bookings.
3. Revisions
Each major deliverable (e.g. wireframes, design, development) includes up to two (2) rounds of revisions, unless otherwise specified.
Additional revision rounds or reworking of previously approved work (including design or structural changes during development) will be quoted and billed separately.
4. Payment Terms
Fees and payment milestones are outlined in the approved proposal.
All invoices are due within 14 days of issue unless otherwise agreed in writing. Vim Studio may suspend work or asset delivery if payment is overdue.
Interest may be charged on overdue amounts at the Reserve Bank of Australia cash rate plus 2%, calculated daily. The Client is also responsible for any legal or recovery costs.
5. Cancellation and Termination
Either party may terminate this agreement in writing if the other breaches its obligations and fails to remedy that breach within 14 days.
If the Client terminates the project for convenience:
- All work completed to date will be invoiced and must be paid in full.
- All prior payments are non-refundable.
Vim Studio reserves the right to terminate if the Client fails to provide required feedback or payments within 30 days.
6. Intellectual Property
Vim Studio retains ownership of all working files, concepts, and processes created during the project.
Upon full payment, the Client is granted a non-exclusive, perpetual license to use the final approved deliverables. Vim Studio retains the right to showcase the work for portfolio and marketing purposes.
7. Third-Party Costs and Tools
Costs for third-party tools, fonts, licensed imagery, Webflow or Shopify templates, or other external services are not included in the payments made to Vim Studio unless explicitly stated.
Vim Studio may assist with setup but does not provide support for third-party tools or take responsibility for changes made to them by external providers.
8. Website Hosting, Maintenance, and Platform Support
Unless expressly agreed in writing, ongoing hosting, domain registration, software updates, payment system setup, and ecommerce admin are not included in our scope.
Our work covers the design and development of the website only. We do not manage or support admin settings or day-to-day running of platforms like Webflow or Shopify. Clients are responsible for managing these systems or engaging a specialist for support.
9. Post-Launch Support

Vim Studio includes 30 days of post-launch support, starting from the date of final handover (even if the website is not yet live).
This support includes:
- CMS training (e.g. how to update text, images, blog posts)
- Minor bug fixes
- Light technical guidance related to the existing site
Support is capped at 6 hours total. Additional time will be billed at our standard hourly rate or may be covered by a support retainer if agreed.
Post-launch support does not include:
- New pages or sections
- Navigation or footer changes
- Strategic redesigns or additional development features
- Ecommerce product uploads or payment system setup
- Ongoing administration of platforms like Webflow or Shopify
After the support period ends, clients are welcome to engage Vim Studio for further work at an hourly rate, or via a retainer arrangement.
10. Confidentiality
Both parties agree to maintain the confidentiality of sensitive business information shared during the project. Neither party will disclose such information to third parties without prior consent, unless required by law.
11. Limitation of Liability
Vim Studio will perform services with reasonable skill and care but cannot guarantee specific business results.
To the extent permitted by law, our liability is limited to the total project fees paid. We are not liable for indirect or consequential losses, or issues caused by third-party tools, platforms, or changes to their systems.
12. Warranties and Indemnities
The Client warrants they have all rights necessary to provide any assets or content and will indemnify Vim Studio against claims of intellectual property infringement.
We are not responsible for errors in Client-supplied materials.
13. Dispute Resolution
Both parties will attempt to resolve disputes through discussion. If unresolved after 21 days, either party may refer the matter to mediation in Queensland before taking further action.
14. Force Majeure
Neither party is liable for delays or failure to perform due to events beyond their control (e.g. natural disasters, pandemics, war, strikes, etc.).
15. Amendments and Entire Agreement
These Terms, along with the approved proposal, form the full agreement between parties. Any amendments must be agreed in writing.
16. Governing Law
This agreement is governed by the laws of Queensland, Australia.
17. Hourly Support and Future Work
Once the scope and included support period ends, additional work is billed hourly unless a retainer agreement is in place. All requests will be scheduled based on current availability.
Acceptance
By accepting a proposal, making payment, or instructing Vim Studio to begin work, the Client agrees to these Terms and Conditions.
